The Indian government has witnessed the reform when it has taken steps towards liberalization and globalization of the economy. The expectations of various stakeholders can be achieved only by good corporate governance. This paper analyzes the difference in the Indian capital market law and the international standards of corporate governance. Corporate governance refers to the set of systems, principles and processes by which a company is governed. They provide guidelines as to how the company can be directed or controlled to fulfill its goals and objectives of the company. The paper discusses various committee reports and their recommendations on corporate governance and analyzes the reasons for the failure of governance in the US by highlighting the present position in India.
