Abstract
The corporate sector plays a crucial role in combating climate change. Hence, the disclosure of information by companies regarding risks and opportunities that climate change presents for them is important for investors, governments and non-governmental entities. This Note examines the role of corporate and securities laws in forcing climate change disclosures by companies. After examining the international trends on disclosure requirements, it analyzes the applicable laws and regulations in India as well as trends in practice. It finds the need for greater mandatory disclosure by companies on climate change. It also suggests modifications to corporate governance norms and practices to alter managerial behavior that motivates corporate actors to carry out business operations with a long-term perspective for sustainable development.
