Abstract:     
This article examines the relationship of contract and trust theory to the governance and operation of corporations. The author examines these theories first on a general level, then applies them to the doctrine of corporate opportunity as developed in Chancellor Allen's opinion in Cellular Information Systems, Inc. v. Broz.
