Shares and Class Rights in Nigeria's Company Law: An AppraisalOnyekachi Wisdom DuruOctober 25, 2011 Abstract: This research project will examine the nature of shares and class rights in Nigeria’s Company Law with a view to stimulating intellectual discussions on the subject, broadening the knowledge of existing shareholders as regards their rights and drawing the attention of the general public investors to the viable investment options that ‘shares’ provide. In doing that; the work will be organized into five chapters, with chapter one providing the approach and theoretical framework of the study as well as conceptual clarifications. Chapter two is intended to extensively review some related literature on the nature of shares and class rights in Nigeria’s Company Law. Particular attention will be placed on a review of literature on the subject matter by Nigerians consisting of academics and practitioners. Chapter three and four provide an analysis of the nature of shares and the rights attached to classes of shares under Nigerian Company Law, respectively. These two chapters will, to the extent allowed by the scope of study, respectively, probe the legal principles governing shares and class rights under Nigerian Company Law. Lastly, chapter five not only concludes the paper but also goes ahead to make useful recommendations for the improvement of the law relating to the subject matter of study.
