Shareholder Fiduciary Accountability: No Duty to the Minority

Abstract:     
Judges have concluded that shareholders have no status fiduciary duty to their corporations. They have also concluded that majority shareholders have a status fiduciary duty to minority shareholders. Both conclusions are wrong.
