Abstract

Dieser Beitrag untersucht die Funktion sowie die Tatbestandsvoraussetzungen der Sachübernahme und berücksichtigt die Interdependenzen zum neuen Rechnungslegungsrecht. Bislang ist nach der herrschenden Doktrin Nichtigkeit ex tunc die Standardrechtsfolge einer Verletzung der Formvorschriften der Sachübernahme, obschon grundsätzlich auch andere von der Rechtsprechung zu entwickelnde Lösungen vom Gesetzgeber nicht von vornherein ausgeschlossen werden. Die unnötig scharfe Sanktionierung ist indes problematisch. Um die betrieblichen sowie die rechtlichen Risiken, die mit der Nichtigkeit verbunden sind, zu reduzieren sowie den Interessen der Share- und Stakeholder – und nicht zuletzt den Gesellschaften selbst – bei künftigen Gründungen und Kapitalerhöhungen besser Rechnung zu tragen, wird ein sachgerechteres Konzept entwickelt. Statt die Sachübernahme und die damit eingegangenen Verpflichtungen ex tunc für nichtig zu erklären, soll der Aktienzeichner den zu wenig liberierten Betrag nachträglich leisten.

Die Beweislast für die Werthaltigkeit des übernommenen Vermögensgegenstandes soll der liberierende Aktionär tragen. Sofern die Sachübernahme in geeigneter Weise offengelegt wurde, ist die Beweislast umzukehren, d.h., es ist dann zu vermuten, dass für die übernommene Sache ein fairer Preis bezahlt worden und der Aktionär seiner Liberierungsverpflichtung vollständig nachgekommen ist.

Cet article étudie la fonction ainsi que les conditions légales de l’apport en nature, en intégrant les interdépendances avec le nouveau droit de la présentation des comptes. Jusqu’à présent, selon la doctrine dominante, la nullité ex tunc est la conséquence habituelle d’une violation des prescriptions de forme de l’apport en nature, bien que d’autres solutions à développer par le législateur ne soient en principe pas exclues d’emblée. La sanction inutilement dure pose toutefois problème.

L’auteur met au point un concept adéquat, visant à réduire les risques matériels et juridiques liés à la nullité et, d’autre part, à mieux tenir compte des intérêts des associés et des parties prenantes – sans oublier ceux de la société elle-même – lors de fondations et d’augmentations de capital futures. Plutôt que de déclarer l’apport en nature et les engagements pris à travers celui-ci comme nuls ex tunc, il serait préférable que celui qui souscrit des actions soit tenu de verser par la suite le montant non libéré. La charge de la preuve relative au maintien de la valeur du bien apporté devrait incomber à l’actionnaire libérant. Dès lors que l’apport en nature a été communiqué de manière adéquate, la charge de la preuve doit être renversée : il y a lieu de présumer qu’un prix correct a été versé pour la chose apportée et que l’actionnaire s’est pleinement acquitté de son obligation de libération.

Article 628 Section 2 of the Swiss Code of Obligations provides that "[w]here the company acquires or intends to acquire tangible assets from shareholders or close associates, the articles of association must indicate their nature, the name of the person providing them and the consideration given by the company." If such a transaction takes place, the board of directors needs to write a report describing that this transaction has been concluded at arm's length, and consequently, an auditor needs to audit this report. That is an 'acquisition in kind.'

This article analyzes the function and the legal prerequisites of the acquisitions in kind and takes into consideration its interdependencies with the new Swiss Accounting Code. According to the majority doctrine, a violation of the acquisition in kind formality leads to ex tunc invalidity, although the legislative does not a priori rule out that courts could make case law that would allow other legal consequences for such a violation of formalities.

However, this unnecessary harsh sanctioning is problematic. In order to reduce these risks, which are related to the invalidity of the acquisition in kind, from a legal and a business point of view, this article is proposing a more efficient concept regarding the legal consequences. This concept aims to accommodate the interests of all share- and stakeholders in future incorporations and capital increases. Instead of making the acquisition in kind ex tunc invalid, this article is proposing that the person subscribing shares shall remargin his subscripted shares if he did not pay them in full, for example, if he allegedly did not deal at arm’s length (i.e., if he did not disclose and let this type of contract audit by a certified public accountant) with the company when he contracted for the acquisition in kind. If the shareholder or the company disclosed the terms of the acquisition in kind contract, the burden of proof that this transaction was (fraudulently) detrimental to the interests of the company, shall lie with the plaintiff. If the plaintiff cannot prove his case, the shareholder has, at least from a legal point of view, paid in his shares completely according to Article 628 Section 2 of the Swiss Code of Obligations.
