Abstract

This paper contains comments and suggestions to the Consultative Paper on Review of Corporate Governance Norms in India that was released by the Securities and Exchange Board of India (SEBI) on January 4, 2013.

The comments and suggestions are set out in two parts. The first part contains a response to the more specific proposals contained in SEBI’s consultative paper. The second part contains a discussion of some of the broader concerns pertaining to corporate governance in India, and sets out some issues that have not been adequately addressed in the current round of reforms. A summary of the key comments is contained in the Appendix.
