Abstract

Libertatea de stabilire a societăţilor comerciale este un subiect actual şi, în privinţa conţinutului său, în continuă transformare. Actualitatea sa provine din necesitatea de a găsi soluţiile adecvate pentru dezvoltarea afacerilor şi, din perspectiva societăţilor comerciale (a dreptului care le guvernează în Uniunea Europeană), găsirea unui instrument valid (juridic) şi posibil (intuitiv), atrăgător pentru întreprinzători şi nu doar o himeră cu nume ispititor. Libertatea de stabilire a fost unul dintre instrumentele realizării pieţei interne. Articolul îşi propune să analizeze conţinutul principiului libertăţii de stabilire, ca principiu al dreptului Uniunii Europene, precum şi implicaţiile principiului libertăţii comerţului în conturarea libertăţii de stabilire. În acest articol, vom urmări relaţia dintre jurisprudenţă şi reglementările din TFUE şi vom cauta posibile soluţii ale unei ecuaţii rămase, deocamdată, fără răspuns.

Freedom of establishment of companies is an ongoing and, concerning its content, in a continuous transformation topic. Its current nature comes from the need of finding adequate solutions for business development and, in terms of companies (or of the law that governs them within the European Union), of finding a valid (legal) instrument, which might be useful to entrepreneurs and not just a chimera with enticing name. Freedom of establishment has been one of the tools for the internal market. This article aims to analyze the content of the principle of freedom of establishment, as a principle of the European Union law, and the effects of freedom to trade in shaping the freedom of establishment. In this article, we trace the relationship between case-law of the European Court of Justice and rules of the TFEU and we seek possible solutions concerning a yet unanswered question.
