Abstract

The theoretical debate over the continued utility of the sale-lease distinction has gained momentum as codification of the law of personal property has been explored. Commentators have advocated numerous suggestions to deal with the law of personal property leasing, such as recognizing leasing as a sui generis transaction subject to separate statutory treatment, amending Article 9 of the Uniform Commercial Code to include leases, and amending the sales provisions of the Code to include leases. This theoretical debate has largely overlooked the practical problems of abandoning the distinction.
