Abstract
תקציר בעברית: המאמר שב לנושא של פירוש חוזים, שבעשורים האחרונים העסיק רבות את בית המשפט העליון, המחוקק והאקדמיה המשפטית בישראל. המחלוקות בנושא זה מתייחסות ללגיטימיות של פנייה לנסיבות חיצוניות במקרים שבהם לשונו של החוזה נחזית ברורה, למשקל שיש לייחס לערכים של הוגנות וסבירות, ולתפקידו של בית המשפט. המאמר מנתח את פסק דינו של בית המשפט העליון בפרשת ביבי כבישים נ' רכבת ישראל, שבו כל אחד מהשופטים – אלכס שטיין, עוזי פוגלמן ועופר גרוסקופף כתב פסק דין נפרד ושונה. המאמר מתמקד בחוות דעתו של השופט שטיין ובגישה הנאו-פורמליסטית שבה הוא דוגל. המאמר חושף קשיים בניתוח התיאורטי ובתיאור הדין הנוהג בפי השופט שטיין; מצביע על אי-התאמה בין כללי הפירוש שאותם הוא מציע לאמץ לבין האופן שבו הוא מיישם כללים אלה במקרה הנדון; מציב סימן שאלה על הקביעה שפירוש חוזים יכול להיעשות בהתעלם משיקולים נורמטיביים; ומבקר את בית המשפט על המבוכה שיצר לגבי המצב המשפטי.
English Abstract: There is a continuous debate in Israeli law about contract interpretation. The debate revolves around the legitimacy of considering external circumstances when the contract’s text appears to be unambiguous, the weight attributed to values of fairness and reasonableness in the interpretative process, and the appropriate role of the court. The Article analyzes a recent development in this regard: the Supreme Courts’ judgment in Bibi Roads Earthmoving & Development Ltd. v. Israel Railways Ltd. It critically analyzes the three opinions delivered by Justices Uzi Vogelman, Ofer Grosskopf, and Alex Stein, focusing on Justice Stein’s neo-formalistic approach. The Article points to difficulties in his theoretical analysis and to a discrepancy between his theoretical analysis and its implementation.
