Abstract

Does New York’s “evergreen clauses” law apply to software and Software-as-a-Service license agreements? New York’s original “evergreen clauses” law was first passed in 1961, long before the software industry came into existence. Although New York is now a major technology hub, the case law does not offer a conclusive answer to this question. Software vendors should tread carefully.
