Abstract

This paper is the introductory chapter to the casebook Closely Held Business Organizations: Cases, Materials, and Problems.

Closely Held Business Organizations is a comprehensive study of the law of closely held businesses. Although course names differ from school to school, the book is designed primarily for professors teaching Business Organizations or Business Associations who wish to focus their courses on closely held businesses. The book is also ideally suited for courses such as Closely Held Businesses and Agency and Unincorporated Business Associations. Highlights of Closely Held Business Organizations include:

* Comprehensive coverage of agency, general partnerships, corporations, limited partnerships, limited liability partnerships, and limited liability companies. Materials are also included on the professional corporation, the professional association, and the business trust.

* LLCs, in particular, receive 120 pages of comprehensive, up-to-date treatment.

* Notes and questions are provided at the end of each principal case or excerpt. The notes and questions are specifically designed to serve as the sole focus for class discussion if the professor chooses. (This should be particularly helpful for newer professors).

* Numerous problems are included throughout the book to raise critical issues, to facilitate comprehension, and to present opportunities for students to apply concepts and doctrines to various factual settings.

* An extensive Teacher's Manual provides detailed answers and lines of discussion for every question and problem in the book.

* Thorough coverage of uniform and model statutes (including the MBCA and the Restatement (Third) of Agency) as well as Delaware statutes.

* A statutory supplement specifically designed to accompany the book by including all of the cited statutes and comments.
