Abstract

The unexpected death of Richard Connor, founder, controlling shareholder and chairman of the publicly traded Peerless Paint Company, created a number of problems for the outside directors on the board. Who should now be leading the company forward? How should the outside board members address Richard's two sons, their ambitions, rivalry and positions on the board? Is the company prepared to cope with major incipient product, technology and regulatory changes in its industry? What are the roles of the audit committee and audit partner in this situation?
