Abstract

The proposition that people ought to be held responsible for the consequences of their actions is complicated when those actions are undertaken in pursuit of the goals and objectives of another artificial person - a corporation - especially when the human being whose actions (or inaction) harm a third party is the directing mind of the corporation. This paper argues that a thoughtful approach to the law of directors’ and officers’ third party liability should take careful account of the various ways in which the proximity between such directors and officers and third parties may arise.
