Abstract

Rule 10b-5 is one of the most important rules promulgated by the US Securities & Exchange Commission, pursuant to its authority granted under the Securities Exchange Act of 1934. Under Rule 10b-5, are investors better off after the holdings of Dura Pharmaceuticals, Inc. v. Broudo, or is it shielding corporations instead of providing protection to investors from misrepresentations of defrauding corporations.
