Abstract

Holanda, ha sido durante décadas uno de los territorios que tradicionalmente ha ejercido mayor atracción fiscal de operadores internacionales, tanto en la instrumentación de la canalización equity/debt, como en el establecimiento de headquarters.

Sin embargo,su atractivo no ha versado exclusivamente en cuestiones puramente fiscales, al haberse caracterizado su territorio por la flexibilidad mostrada, tanto por parte de la Administración tributaria como por sus legisladores, siendo Holanda un Estado que entendió pronto que la colaboración mutua entre el Estado y los operadores económicos revertiría de manera positiva en sus ingresos, lo cual no excluye que intente controlar el posible fraude fiscal, que no interesa ni a Holanda ni a ningún otro Estado.

De todos los posibles atractivos fiscales ofrecidos por Holanda, analizaremos en el presente artículo el régimen holandés de participation exemption, con el objeto de poder vislumbrar la evolución de los condicionantes requeridos, desde su creación hasta nuestros días, a las entidades holding para poder aplicar el régimen mencionado.

The Netherlands, has been for decades one of the States which traditionally has exercised greater fiscal attraction on international operators, either by incorporating a conduit company or a headquarters in their territory. But the competitiveness of their system it has not only versed in purely tax matters, but in the flexibility shown by the tax authorities and their government. The Netherlands has always heeded that a mutual cooperation between the State and private sector revert to their budget, which does not exclude to control tax evasion.

Considering all possible tax benefits offered by the Netherlands, this article is focused on Dutch participation exemption regime, through an in-depth analysis on the evolution of the conditioning required to holding companies, from its incorporation in the Dutch Legislation until nowadays, in order to apply for the abovementioned tax regime.
