Abstract
This paper examines corporate governance issues in the Limited Liability Partnership structure in Malaysia. Although comparable to the company in that the LLP has legal personality, it suffers from a distinctive agency problem due to the lack of separation of ownership and control. This paper presents a case for more legislative guidance particularly with respect to creditors’ and minorities’ protection.
