Abstract

This article offers a brief review of how the tort of negligent misstatement in English law may apply to investment disclosures provided in accordance with certain EU instruments where such disclosures are later discovered to have been incomplete or wrong. The article examines the EU frameworks relating to prospectuses, ongoing disclosure in the capital markets, and so-called packaged retail and insurance-based investment products (PRIIPs).
