This brief comment on Professor Guhan Subramanian’s, Delaware’s Choice, 39 Del. J. Corp. L. (2014), relates Professor Subramanian’s empirical analysis of recent takeover activity to the data presented to Delaware’s legislature in 1987 in connection with its deliberations regarding the adoption of Section 203 of the Delaware General Corporate Law. The 1987 data suggested that it would be highly improbable that takeovers would satisfy Section 203’s 85% trigger. Professor Subramanian’s findings confirm the accuracy of that prediction.
