Abstract

Ethics, morality and governance are the set of rules, regulations and bylaws are the framework for ensuring truth and fairness in all the activities performed. Ethics and morality are inter and intra disciplinary principles judging the behaviour and conduct of people in personal and professional environment. Corporate governance, the principle judging the conduct in the professional environment justifies the code of conduct for authority, accountability and responsibility towards various interested groups, hence corporate governance as a law should be set as a system driven activity rather than people oriented act. Ethics, morale and governance, the terms in itself raise a question: are they the requirement of modern and global business world; where did they come from; why are they required; for whom they are required; who demanded them; for whom are they a necessity? The questions are endless, but the answer, is, the epic, ― Mahabharata‖, by sage ved vyas, the Bhagavad gita is also ascribed to him. Dharma, the first reference in the Bhagavad Gita talks of Kurukshetra as the 'field of Dharma', that is rightly accepted by both, Sri Aurobindo, a freedom fighter and, Sarvapalli Radhakrishnan, a philosopher and the second president of India, see the 'Field of action' as the world, which is a "battleground for moral struggle‖. According to Vivekananda, "क्ऱैब्यं मा स्म गम् पार्थ नैतत्त्वय्युपपद्यते । क्षुद्रं हृदयदौर्थल्यं त्यक्त्वोत्तिष्ठ परंतप॥."
