Abstract

Russian Abstract: Книга посвящена одному из классических способов разрешения корпоративных конфликтов – исключению участника из общества с ограниченной ответственностью. Анализируется правовая природа исключения участника, а также подробно разбираются проблемы, связанные с основаниями, процедурой и последствием исключения участника. В работе обосновывается концепция исключения участника как последствия нарушения обязанности действовать в интересах общества.

English Abstract: The book focuses on one of the classic ways of resolving corporate conflicts - the expulsion of a shareholder from a limited liability company. This book elaborates upon the legal nature of the expulsion of a shareholder from a limited liability company. The book provides a comprehensive overview of the issues relating to the grounds, procedures and consequences of the expulsion of a shareholder. It is concluded that the expulsion of a shareholder from a limited liability company is the consequence of a breach of the fiduciary duties.
