Duties Owed by Shadow Directors: Closing in on the Puppet Masters?

UK company law has not been clear as to the extent of the fiduciary duties owed by a company’s “shadow directors”. This article argues that recent reform which aimed to toughen the standards for shadow directors has failed to clarify the position, while unhelpfully constraining future development of the law.
