Chinese Abstract: 中国既有直接投资法律体系采取国内-国际两层、外资立法和对外投资立法两分、直接投资立法（主要是外资立法）与国内一般立法并行的立法模式。双重角色国家和倡导特色经济外交的“新常态”放大了中国既有直接投资法律体系的劣势，并决定了中国在新时期内必须平衡对外投资利益保护与规制在华外资、双边投资协定与自由贸易协定、国内立法与国际立法的关系：通过国际投资协定保护投资；通过国内立法促进投资；国内与国际立法相结合规制投资；引导国内与国际投资法治的良性互动，并协调直接投资立法和中国投资法律外交战略。
English Abstract: China’s legal framework of foreign direct investment (FDI) consists of various instruments at both national and international levels, including special legislations on inward FDI as well as outward FDI, primarily in parallel with general national legislations. The defects of existing legal framework of FDI have been magnified in light of China’s new role as dual-role state as well as active constructor of international economic governance system. China’s FDI legal framework should be reconstructed by balancing the intrinsic three relations framing whole FDI regulating system, namely investment protection, investment liberalization and investment regulation as well as constructive interactions between national and international rule of law on investment, in order to build a specially targeted multilevel regulating system in order to achieve dynamic coherence and responsiveness.
