Abstract

In the 2016 proxy season I became a corporate gadfly. This article makes explicit and expands on certain benefits touched on in Larcker & Tayan (2016); and urges the U.S. Securities and Exchange Commission to proceed with caution in judging the merit of shareholder proposals from individual proponents based on the outcome of the shareholder vote.
