Abstract

In the essay we describe and analyse how the principle of equal treatment found in Article 3.1 (a) in the EU Takeover Bids Directive (2004/25/EC) has come to be applied as a ban on price differentiation between different voting classes in the offeree company in Sweden. We conclude that this development might not be in line with the growing global demand for active, long-term shareholders in the listed companies.
