Abstract

The days when the corporate governance of financial institutions was exclusively a matter of domestic company law, supplemented by self-regulation, now seem well and truly over. CRD IV and MiFID II introduce strict corporate governance rules under public law for investment firms, bank-investment firms, market operators and data reporting services providers, with compliance being monitored by the financial supervisors. This paper discusses the corporate governance of financial institutions according to CRD IV & MiFID II.
