Abstract

Too many times our judicial officers issue opinions in cases that do not accurately reflect the law of business entities, applying the law of corporations to limited liability companies and speaking about LLCs in corporate terms. An LLC is not a corporation, and courts should understand this and litigators in these cases should help the courts understand this.
