Abstract
Lawyers serve on corporate boards with ever-increasing frequency. Although bar associations have historically frowned on lawyer-directors serving on client boards, recent research indicates that even with the attendant conflicts, lawyer-directors often significantly increase firm value. This chapter reviews the ethics rules and discusses possible pitfalls as well as steps to reduce the risks associated with board service.
