Abstract

As per Indian Company Law affixation of common seal/ official seal creates binding effect on the company for all obligations undertaken in the document and has legal implications hence audit in this regard must be carried on with proper care and diligence considering the provisions of the Companies Act, 2013 and Secretarial Standard – 8. This article summarizes the provision of the Companies Act, 2013 and Secretarial Standard regarding affixation of common seal and its procedures with a quick check list for the compliance of provisions regarding affixation of common seal. List of documents required to be executed under common list is also mentioned.
