Abstract
This chapter is a pre-print of the introductory chapter in the forthcoming book entitled Instruments of EU Corporate Governance: Effecting Changes in the Management of Companies in a Changing World, which will be published by Wolters Kluwer early 2023. The book aims to analyse the different instruments that legislators and others are using to promote good corporate governance in European companies. The book is divided into three parts. The first focuses on instruments that stipulate or underpin the duties of directors or the board. The second part addresses instruments that use more indirect methods by not addressing the directors or board but instead other stakeholders who may affect the behaviour of the two. Finally, the third part has an instrumental approach to ensuring compliance with the instruments dealt with in the first two parts. The chapter provides an overview of each part, introducing the book’s 17 chapters written by prominent corporate and business law scholars.
